Affiliate Program Terms and Conditions

Welcome to the Adwave Affiliate Program ("Program"). These terms and conditions ("Terms") govern your participation in the Program. By joining and participating in the Program, you agree to comply with these Terms.

1. Eligibility

To participate in the Adwave Affiliate Program, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have a valid Adwave account in good standing
• Operate a legitimate website, social media presence, or other promotional channels
• Comply with all applicable laws and regulations in your jurisdiction
• Not engage in any illegal, fraudulent, or deceptive practices

Adwave reserves the right to accept or reject any affiliate application at its sole discretion.

2. Commission Structure

Affiliates earn commissions as follows:

• Commission Rate: 10% of all gross revenue generated by referred customers
• Duration: Commission is earned in perpetuity for as long as the referred customer remains an active Adwave customer
• Calculation: Commissions are calculated based on the actual revenue received by Adwave from your referred customers
• Eligible Revenue: All subscription fees and advertising spend from referred customers qualify for commission

Commissions are only paid on successfully completed transactions. Refunded, disputed, or fraudulent transactions do not qualify for commission.

3. Referral Tracking

• Cookie Duration: Referrals are tracked via cookies for 30 days from the first click on your affiliate link
• Attribution: If a customer clicks your affiliate link and creates an account within 30 days, you will receive credit for that referral
• Link Usage: You must use your unique affiliate link provided in your Adwave account profile. Modified or altered links may not track properly
• Reporting: You can track your referrals and earnings in real-time through your Adwave dashboard

4. Payment Terms

• Payment Schedule: Commissions are paid monthly, typically within the first week of each month for the previous month's earnings
• Minimum Payout: A minimum balance of $50 is required to receive a payout
• Payment Method: Payments are processed via the payment method you specify in your account settings
• Tax Responsibility: You are responsible for all applicable taxes on your affiliate earnings. Adwave will issue appropriate tax documentation as required by law

Adwave reserves the right to withhold payment if fraudulent activity is suspected or if your account is under review.

5. Prohibited Activities

The following activities are strictly prohibited:

5.1 Self-Referrals

You may not use your own affiliate link to create accounts for yourself or to receive discounts. The Program is designed to reward you for referring other customers, not for your own use.

5.2 Paid Search Restrictions

You may not bid on the following terms or variations in paid search campaigns:

• Adwave
• Adwave.io
• Adwave TV
• Adwave advertising
• Any other branded terms containing "Adwave"

5.3 Impersonation and Misrepresentation

• You may not impersonate Adwave or claim to be an official representative without authorization
• You may not suggest that your company is affiliated with, endorsed by, or partnered with Adwave without prior written approval
• You must clearly disclose your affiliate relationship when promoting Adwave

5.4 Spam and Deceptive Practices

• No unsolicited email marketing (spam)
• No misleading or false advertising
• No use of misleading URLs or domain names
• No fraudulent traffic generation or click fraud

5.5 Trademark Violations

You may not register domain names, social media accounts, or other properties using Adwave's trademarks without prior written consent.

6. Marketing Materials and Trademark Usage

• Adwave may provide marketing materials, banners, and copy for your promotional use
• You may use Adwave's name and logo for promotional purposes in accordance with these Terms
• You must use materials as provided without modification unless approved by Adwave
• All intellectual property rights remain with Adwave
• Upon termination of your participation, you must immediately cease use of all Adwave trademarks and materials

7. Program Modifications and Termination

7.1 Program Changes

Adwave reserves the right to modify these Terms, commission rates, or Program structure at any time. Material changes will be communicated to active affiliates with reasonable notice.

7.2 Termination by Affiliate

You may terminate your participation at any time by discontinuing use of your affiliate link. You will continue to earn commissions on existing referrals until termination.

7.3 Termination by Adwave

Adwave may terminate your participation immediately if you:

• Violate these Terms
• Engage in fraudulent or deceptive practices
• Damage Adwave's reputation or brand
• Close your Adwave account

Upon termination for violations, you forfeit all unpaid commissions.

8. Liability and Disclaimers

• Adwave is not responsible for any losses, damages, or expenses incurred in connection with your participation in the Program
• You agree to indemnify and hold Adwave harmless from any claims arising from your promotional activities
• The Program is provided "as is" without warranties of any kind
• Adwave reserves the right to modify commission calculations to correct errors or address system issues

9. Data and Privacy

• Your participation in the Program is subject to Adwave's Privacy Policy
• You will receive access to aggregated referral data but not personally identifiable information about referred customers
• You agree to comply with all applicable data protection laws in your promotional activities
• You must include appropriate privacy disclosures and cookie notices on your promotional channels

10. Compliance with Laws

You agree to:

• Comply with all applicable federal, state, and local laws and regulations
• Include appropriate affiliate disclosures in accordance with FTC guidelines and similar regulations in your jurisdiction
• Comply with advertising standards and consumer protection laws
• Obtain all necessary licenses or permissions for your promotional activities

11. Relationship

Your participation in the Program does not create an employment, partnership, joint venture, or agency relationship between you and Adwave. You are an independent contractor responsible for your own taxes, insurance, and business expenses.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Adwave regarding the Program
• Severability: If any provision is found invalid, the remaining provisions remain in full effect
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision
• Assignment: You may not assign your rights or obligations without Adwave's prior written consent
